What is Alibaba Group's mission?

Our mission is “to make it easy to do business anywhere.” Our founders started our company to champion small businesses, in the belief that the Internet would level the playing field by enabling small enterprises to leverage innovation and technology to grow and compete more effectively in domestic and global economies. When was Alibaba Group founded?

Alibaba Group was founded in 1999 by 18 people led by Jack Ma, a former English teacher from Hangzhou, China. It began as an online wholesale marketplace for small Chinese exporters and entrepreneurs to reach global buyers.

Why is the company called "Alibaba"?

Jack Ma chose the name because it is well-known around the world and it can be easily pronounced in many languages. E-commerce is global so we needed a name that was globally recognized. Alibaba brings to mind “open sesame,” representing that our platforms open a doorway to fortune for small businesses.

What is Alibaba Group’s core business?

We provide the technology infrastructure and marketing reach to help merchants, brands, retailers and other businesses to leverage the power of new technology to engage with their users and customers and operate in a more efficient way. Who are Alibaba Group's customers?

Our customers include both buyers and sellers on our marketplaces, and they discover, select and transact with each other on our platform. Buyers access our marketplaces free of charge. Buyers include consumers who come to our retail marketplaces to shop for anything anytime anywhere, as well as business buyers who use our wholesale marketplaces to source products for use in their own business or for resale. Sellers use our marketplaces to establish a presence on the Internet and market products and services to hundreds of millions of consumers and other businesses. Sellers include brands, retailers, wholesalers and manufacturers. We also provide cloud computing services to a wide range of customers including merchants doing business on our marketplaces, systems integrators, mobile app developers and digital entertainment companies.

What do you mean when you refer to the “Alibaba Ecosystem”?

An ecosystem has developed around our platforms and businesses, consisting of consumers, merchants, brands, retailers, third-party service providers, strategic alliance partners and other businesses. At the nexus of this ecosystem are our technology platform, our marketplace rules and the role we play in connecting these participants to make it possible for them to discover, engage and transact with each other and manage their businesses anytime and anywhere. Much of our effort, time and energy is spent on initiatives that are for the greater good of the ecosystem and on balancing the interests of its participants. We feel a strong responsibility for the continued development of the ecosystem and we take ownership in this development. Accordingly, we refer to this as “our ecosystem.” Our ecosystem has strong self-reinforcing network effects benefiting its various participants, who are in turn invested in our ecosystem’s growth and success.

How does Alibaba Group grow its business?

With our environmental, social and governance responsibilities (ESG) as the foundation of our long-term strategy, we choose to stay focused on strengthening our leadership and building core capabilities in three strategic areas: consumption, cloud, and globalization.
- ESG: ESG not only provides a framework for solving a series of global challenges, but is also the bridge to carry Alibaba to 102 years. - Consumption: In China, we aim to capture opportunities in wallet share expansion by serving the diversified needs of different consumer segments in accordance with their consumption power and mindset. We offer a multidimensional matrix of consumer apps with clearly differentiated value propositions that aim to meet the various consumer demands across metropolitan and less-developed regions, across differing time sensitivities, and across different income levels and consumption models.
- Cloud: In order to capture the tremendous opportunities of enterprise digitalization, we will continue to strengthen our market leadership as a global cloud service provider, and focus on high-quality growth through improving operating efficiency, enhancing core products and technologies and advancing our Cloud-DingTalk integration strategy.
- Globalization: We strive to make diversified offerings available to our users worldwide by empowering our local merchants and partners, supported by our supply chain advantages in China and cross-border capabilities. In addition, as the largest IaaS service provider in Asia Pacific, we continue to expand our international cloud infrastructure and strengthen local cloud service capabilities, especially in Southeast Asia.

What is Alibaba Group’s long-term strategic goal?

As we continue to expand our businesses from commerce to local consumer services, logistics, cloud, digital media and entertainment, among other sectors, Alibaba has evolved into an ecosystem that is unique, energetic and innovative.
We have set medium-term goals for fiscal year 2024: continue to expand our globalization efforts, serve more than 1 billion consumers through our China consumer business, and facilitate more than RMB10 trillion of annual consumption on our platforms.

Alibaba Group was listed on the New York Stock Exchange (NYSE) on September 19, 2014, and was dual-listed on the Stock Exchange of Hong Kong Limited (SEHK) on November 26, 2019.

Where is Alibaba Group traded and what is the ticker symbol?

Alibaba Group’s American Depositary Shares (ADSs), each representing eight ordinary shares of Alibaba Group, are traded on the NYSE under the ticker symbol BABA. Alibaba Group’s ordinary shares are traded on the SEHK under the stock code 9988.

What is the dividend policy of Alibaba Group?

We have no present plan to pay any dividends on our ordinary shares in the foreseeable future. We intend to retain most, if not all, of our available funds and any future earnings to operate and expand our business. Any future determination to pay dividends will be made at the discretion of our board of directors and may be based on a number of factors, including our future operations and earnings, capital requirements and surplus, general financial condition, contractual restrictions and other factors that the board of directors may deem relevant.

What are the main considerations for Alibaba to apply for a primary listing status on the Hong Kong Stock Exchange? How did you determine that this is the appropriate time to do so?

The majority of our public float has migrated to Hong Kong in fiscal year 2022. Given the fact that our Hong Kong shares were among the top 3 stocks in terms of average daily trading volume and market cap in Hong Kong for fiscal year 2021 and 2022, it is natural for us to change our listing status in Hong Kong from secondary to dual-primary now.

We believe that having a primary listing status in Hong Kong could broaden our investor base and facilitate incremental liquidity, in particular expand access to China- and other Asia-based investors.

Please describe the process for the primary listing in Hong Kong.

We have submitted our formal application to the Hong Kong Stock Exchange and we currently target to complete the dual-primary listing process by the end of 2022.

Are the U.S.-listed ADSs and Hong Kong-listed shares fungible?

Our U.S.-listed ADSs and Hong Kong-listed ordinary shares are fully fungible and can be converted in both directions. The conversion between U.S.-listed ADSs and Hong Kong-listed shares, in either direction, will generally require two business days to complete electronically under normal circumstances.

This is consistent with the conversion mechanics for other U.S. and Hong Kong-listed shares. Please reach out to your brokers for further information on procedures and costs for conversion between Hong Kong shares and ADSs.

Overview of conversion from ADSs to Hong Kong-listed shares
Investors (including institutional and retail) would instruct their brokers to convert their U.S. listed ADSs into Hong Kong shares via Citibank (drcerts@citi.com/citiadr@citi.com/drbrokerservices@citi.com), acting as Depositary in NY and Custodian in Hong Kong; the investors would designate a Hong Kong account for the converted Hong Kong shares to be delivered into.

In essence, (i) the brokers would act on the instructions of the investors and liaise with Citibank NY (depositary); (ii) Citibank NY would then cancel the ADS and instruct its custodian (Citibank HK) to "withdraw" the underlying Hong Kong shares; (iii) Citibank HK would then deliver the Hong Kong shares into Hong Kong account that was designated by the investor. These steps are completed in two business days.
